What you are agreeing to when you introduce a school to Palmgrade

This page sets out how the Palmgrade referral programme works. It is short on purpose, and it describes exactly what our system does — nothing here is a promise we cannot show you the record of. Please read it before you introduce your first school.
This is a referral programme. You introduce a school to Palmgrade; if that school subscribes, you earn a share of what it pays in its first year. That is the whole arrangement.
You are not our employee, our agent, our staff or our representative, and joining this programme does not make you any of those things. We do not give you a territory, a target, a quota or a list of schools to approach. We do not supply leads, and we do not reimburse any cost you incur — travel, data, printing, your time — whether or not a school signs. You decide who to approach, how, and how much to spend doing it. That is precisely why the rate is what it is: you carry the cost and the risk, so you keep a large share of the reward.
You may not describe yourself as working for Cevatronic Systems Limited or Palmgrade, sign anything on our behalf, quote prices other than our published ones, or make any promise about the product that our own website does not make.
Anyone over 18 who can be paid into a Nigerian bank account. You do not need to be a business, and you do not need any relationship with us beforehand.
You may not refer a school you own, run, or are employed by, and you may not arrange for someone else to refer it on your behalf — a school cannot be the source of its own commission. Introducing a school that is not your own is exactly what this programme is for, including where you are a proprietor introducing a school you know.
We may decline an application, or remove someone from the programme, without giving a reason. If we remove you, commission already accrued on schools already attributed to you is still paid.
Every partner gets a referral code. A school becomes yours when it enters that code in the optional Referral code field as it signs up. That stamps the school to you permanently — a school is never re-attributed from one partner to another, so the first valid code entered is the one that counts.
If a school forgot to enter your code, tell us and we can attribute it afterwards, provided it is not already tied to another partner. There is one consequence you should know about, because it is the thing most likely to cause a disagreement later: attribution credits you for payments made after it. A school attributed after it has already paid does not earn you commission on those earlier payments. If you have introduced a school, tell us before it pays rather than after.
50% of what the school actually pays Palmgrade in subscription during its first 12 months on the platform.
It is calculated on money we actually collect, after any discount or coupon the school used, and after payment-processor charges. If a school pays for a year up front, your commission on that payment is earned once. If it pays monthly, you earn on each payment it makes inside the 12-month window.
The rate that applies to you is the one in force when you joined, and it is recorded against your partner record. We do not change an existing partner's rate downward.

Commission accrues automatically each time the school pays, and is paid out to your bank account on our regular payout run once it has accrued. You can see what you have earned at any time by asking us for your statement.
Commission is only ever earned on money the school has actually paid. If a school cancels, downgrades or simply stops paying, your commission stops with it — there is nothing further to earn from that school, but nothing already paid to you is taken back either. We do not claw back commission on a school that leaves.
If a school charges a payment back, or we refund it, the commission on that payment is reversed, because the money was never really collected. If it has already been paid to you, it is deducted from your next payout.
The programme covers a school's first 12 months only. After that the school is simply our customer and no further commission is due on it. You are of course free to refer as many schools as you like, and each one carries its own first-year window from the date it signs up.
Before your first payout we need your full name, a phone number, and the bank account the money should go to, in your own name. We may ask for identification. We cannot pay into an account belonging to someone else.
Any tax on what you earn is your own responsibility. Where Nigerian law requires us to withhold tax from a commission payment, we will withhold it and pay you the balance.
Tell schools what Palmgrade actually does. Our website, our flyers and our pricing page are all fair game, and we will give you material to use.
You may not promise a school anything we do not offer, imply that a price or discount exists when it does not, contact schools in a way that breaks Nigerian law on unsolicited messages, bid on our brand name in paid search, create a website or social account that could be mistaken for an official Palmgrade one, or enter a school's referral code yourself on their behalf without their knowledge. Any of these ends your participation, and we may withhold commission connected to it.
We may change the commission rate, alter how the programme works, or close it entirely, at any time. If we do, it takes effect for partners who join afterwards. It does not change the rate you were given when you joined, does not affect commission you have already accrued, and does not affect schools already attributed to you — those continue on the terms that applied when the school signed up.
We will tell you before any change takes effect. This page always shows the terms currently on offer, with the date they came into force.
This programme is operated by Cevatronic Systems Limited, which trades as Palmgrade, from Trinity Mall, 79 Obafemi Awolowo Way, Ikeja, Lagos State 101233, Nigeria. These terms are governed by the laws of the Federal Republic of Nigeria. Joining the programme means you accept them.
